This Membership Agreement (“Agreement”) is entered into by and between Zipfixx LLC (“Zipfixx”) and the undersigned individual or entity (“Member”).

1. Membership Obligations

1.1 Professional Performance: Member agrees to perform services at an optimal professional level, adhering to industry standards and best practices.

1.2 Affordable Pricing: Member agrees to provide Zipfixx LLC with the most affordable prices possible for the services rendered.

1.3 Insurance Coverage: Member certifies that they are adequately insured for the type of service they are providing and will maintain appropriate insurance coverage throughout the duration of this Agreement.

2. Referral Service

2.1 Priority Service: As a Zipfixx LLC Member, Member acknowledges and agrees that Zipfixx will always call them first when a job arises in their respective area of service.

2.2 Referral Operation: Member understands and acknowledges that Zipfixx LLC operates solely as a referral service. Zipfixx does not directly provide services but rather connects customers with Members.

3. Indemnification

3.1 Indemnity: Member agrees to indemnify and hold Zipfixx LLC, its vendors, affiliates, and stakeholders harmless from any and all claims, damages, losses, liabilities, expenses (including legal fees), arising out of or resulting from the services provided by Member to Zipfixx customers.

3.2 Limitation of Liability: Zipfixx LLC shall not be liable for any damages, whether physical or monetary, arising from the services provided by Member. Member agrees that Zipfixx is completely indemnified for any such damages.

4. Term and Termination

4.1 Term: This Agreement shall commence on the date of signing and shall continue until terminated by either party in accordance with the terms herein.

4.2 Termination: Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party.

5. Miscellaneous

5.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Your Jurisdiction.

5.2 Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
